Clear terms for dependable work
These terms govern use of our website and the provision of services by NIYU Studio Ltd. By accessing the site or engaging us, you agree to these terms.
1. Who we are
NIYU Studio Ltd, 86-90 Paul Street, London EC2A 4NE, United Kingdom, provides brand identity, web design, and growth services. Contact: +44 20 4525 8670, [email protected]. References to “we”, “us”, or “our” mean NIYU Studio Ltd. References to “you” or “client” mean the person or entity using our site or services.
2. Using our website
You may use the website for lawful purposes and in accordance with these terms. Do not attempt to disrupt the site, misuse forms, or copy content without permission. We may update content or restrict access at any time to maintain security and service quality.
3. Engagements and scope
Project scope, pricing, and timelines are set out in a written proposal or statement of work. Work begins after written acceptance and, when applicable, deposit payment. Change requests are documented and may affect budget and delivery dates. We communicate progress through agreed checkpoints.
4. Fees and payment
Unless otherwise stated, prices are in GBP and exclude applicable taxes. Invoices are due within 14 days. Late payments may pause work and incur reasonable interest as permitted by law. You are responsible for third‑party costs you approve, such as fonts, hosting, or ads platforms.
5. Client responsibilities
Provide timely feedback, accurate information, and access needed to deliver the project. You warrant that assets you supply (text, images, trademarks) do not infringe third‑party rights and comply with applicable laws and platform policies.
6. Intellectual property
Upon full payment, we grant you a non‑exclusive, perpetual licence to use final deliverables for the agreed purposes. We retain ownership of pre‑existing materials, tools, and methods, and we may showcase non‑confidential work in our portfolio. Third‑party licences remain subject to their own terms.
7. Acceptable use
Our services may not be used for unlawful, misleading, hateful, or harmful content, or to violate privacy, IP rights, or advertising policies. We avoid dark patterns and deceptive claims and expect the same from your team. We may refuse or pause work that conflicts with these standards.
8. Platform compliance
We design with Google Ads, Meta Ads, and similar policies in mind. Compliance depends on how assets are used. You are responsible for final ad approvals and ongoing adherence. We will make reasonable changes to address policy feedback within scope.
9. Confidentiality
Both parties agree to keep confidential information shared during a project private and to use it only for delivering the project. This does not apply to information already public or independently obtained without breach.
10. Warranties and disclaimers
We deliver work with reasonable skill and care. Except as stated, the website and services are provided “as is”. We do not guarantee specific rankings, approvals, or results, as these depend on factors beyond our control, including algorithms, market conditions, and user behaviour.
11. Liability
Nothing limits liability for fraud, death, or personal injury caused by negligence. Otherwise, our aggregate liability arising from the services is limited to the fees paid by you for the specific project giving rise to the claim. We are not liable for indirect or consequential loss, loss of profits, or loss of data.
12. Termination
Either party may terminate for material breach if not cured within 14 days of written notice. On termination, you will pay for work completed to date and reasonable committed costs. Relevant clauses that by nature should survive, including IP, confidentiality, and liability, will continue in effect.
13. Privacy
We handle personal data in accordance with our Privacy Policy. Optional analytics and cookies are used only with consent. You can manage preferences at any time from the cookie prompt.
14. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction, subject to applicable consumer protections.
15. Changes to these terms
We may update these terms to reflect changes in law or services. Updated terms take effect when posted on this page. If a change is significant, we will highlight it here.
